1. Agreement & Scope

These Terms & Conditions (“Terms”) constitute a legally binding agreement between you (“Member,” “User,” “you”) and Ladies Entrepreneurship Club Limited (“LEC,” “we,” “us,” “our”).

By creating an account on https://www.ladiesentrepreneurshipclub.com, purchasing any membership tier or Exchange Challenge, accessing the member portal, registering for events, workshops, or retreats, or using any LEC services or content, you agree to be bound by these Terms, our Privacy Policy, and any other posted policies. If you do not agree, do not use our services.

All paid tiers include:

1. Pod Access: Attend quarterly events in your selected Pod (Accra, Dubai, Kigali, London, New York, or Virtual)
2. Challenges: Between 3–15 challenges giving access to 52-week curriculum, weekly live sessions, resource drops, welcome tracker, templates, and frameworks for each challenge topic
3. Member Portal: Access to all challenge materials, recordings, downloadable resources, progress tracking, member directory (tier-dependent), and coaching tools
4. LEC Member Coach (Amazon Alexa): Weekly check-in coaching on goals, challenges, and blockers
5. Newsletter: LEC Magazine with industry insights, member spotlights, and event updates
6. Events & Workshops: Access to LEC-hosted workshops and webinars (tier-dependent pricing/access)
7. Business Catalogue: Listing in the LEC member directory (visible to other members based on tier)

Challenge Changes: Club and Learn members may change challenge selections up to 2 times per membership year at no cost. Additional changes incur a £50 change fee.

D. Pricing in USD and Other Currencies

Prices displayed in USD or other non-GBP currencies are estimates based on current exchange rates and may vary at time of purchase. Billing is in GBP. Your bank or payment processor may apply additional currency conversion fees. Taxes are applied based on your location.

3. Billing & Payment

A. Annual Membership (Club Tier)

• Price: £350/year
• Billing Cycle: Annual renewal on the same date as your signup date
• Payment Method: Credit/debit card (Visa, Mastercard, Amex), bank transfer, or PayPal
• Refund Eligibility: 30-day money-back guarantee (see Refund Policy below)
• Invoice: You will receive a tax invoice via email within 24 hours of purchase

B. Monthly Memberships (Learn, Connect, Exchange)

• Billing Date: Renews on the same date each month as your signup date
• Auto-Renewal: Your membership automatically renews each month unless you cancel
• Failed Payments: If payment fails, we retry after 3 days. If the second attempt fails, your account is suspended. After 14 days with no update, we will cancel your membership.
• Invoice: Sent via email on your billing date
• Taxes: Sales tax/VAT calculated and applied based on your billing address

C. Coupons & Promotional Codes

• Valid coupons are honored at checkout
• Discounts are applied to the first month/year and are not carried forward unless stated
• Coupons cannot be combined unless explicitly stated
• If you receive a discount and later request a refund, the refund will be the discounted amount paid

4. Renewal & Cancellation

A. Automatic Renewal (Club Annual)

• LEC Social membership automatically renews 1 year from your signup date
• 30 days before renewal, you will receive an email reminder
• To cancel before renewal, email legal@ladiesentrepreneurshipclub.com at least 14 days before your renewal date

B. Cancellation of Monthly Memberships (Learn, Connect, Exchange)

• 14-Day Cancellation Window: New members can cancel within 14 days of signup for a full refund
• After 14 Days: You can cancel anytime; membership continues through the end of the current billing month, then closes
• How to Cancel: Log into your account and click “Cancel Membership,” or email legal@ladiesentrepreneurshipclub.com with “Cancel Membership” in the subject line
• Portal Access: After cancellation, you lose access to the member portal; you cannot download materials after access closes

C. Reactivation

Your account data will be archived for 90 days after cancellation. If you rejoin within 90 days, you regain your previous portal access, challenge selections, and progress. After 90 days, your account is permanently deleted and you start as a new member.

5. Membership Modifications & Upgrades

A. Upgrading Your Tier

You can upgrade anytime. If you upgrade mid-month, we will prorate the difference and charge you the prorated amount. Previous challenge selections remain accessible when you upgrade.

B. Changing Exchange Challenge Selections

• Club Tier (3 challenges): Change up to 2 times per year at no cost; additional changes £50 each
• Learn Tier (5 challenges): Change up to 2 times per year at no cost; additional changes £50 each
• Connect & Exchange: Unlimited (you have access to all 15)
• Changes take effect immediately; access to new challenge materials within 2 hours

C. Downgrading Your Tier

Downgrades take effect at the end of your current billing month. No refund for the current month. If you downgrade to a tier with fewer challenges, you must select which challenges to keep; access to the removed challenges ends on the downgrade date.

6. Refund Policy

A. Club Tier (Annual) — 30-Day Money-Back Guarantee

• Refund Window: 30 days from purchase date
• Refund Amount: Full £350
• How to Request: Email legal@ladiesentrepreneurshipclub.com with “Refund Request” within 30 days
• Timeline: Refund processes within 5–10 business days after approval
• After 30 Days: No refunds except if we breach our contract

B. Monthly Memberships (Learn, Connect, Exchange) — 14-Day Cancellation

• Cancellation Window: 14 days from signup date
• Refund Amount: Full first month’s charge
• After 14 Days: No refunds; monthly charges continue until cancellation

C. Partial Refunds for Service Failures

• Portal Outage >24 Hours: Prorated refund for the outage period (daily cost × days down)
• Event Cancellation: Full refund of that event’s cost, or credit toward another event

D. No Refunds For

• Changes of mind after the refund window has passed
• Failure to use the portal or challenges
• Technical issues on your end (slow internet, browser compatibility)
• Disputes over event content or coaching quality
• Taxes already paid

E. Refund Processing

Refunds are returned to your original payment method within 5–10 business days after approval in GBP.

7. User Obligations & Conduct

A. Member Responsibilities

1. Provide accurate information (name, email, business, Pod location)
2. Maintain account security; keep your challengeword confidential
3. Notify us immediately of unauthorized access: legal@ladiesentrepreneurshipclub.com
4. Do not impersonate others or create accounts using false identities
5. Do not share your login credentials; portal access is for your use only
6. Comply with all applicable laws when using LEC services

B. Content Sharing & Use Restrictions

1. Do not record, screenshot, or distribute live sessions, coaching calls, or challenge content without written permission
2. Do not resell access to the member portal, challenge materials, or coaching
3. Do not use LEC materials in courses, programs, or products you sell
4. All materials are licensed for your personal, non-commercial use only
5. All LEC content (videos, templates, frameworks, curriculum) is copyrighted and protected

C. Pod Event Conduct

1. Arrive by the stated event start time
2. Observe any stated dress code
3. Treat all members, speakers, and event staff with respect
4. Do not use events to directly solicit other members (networking is fine; hard selling is not)
5. Do not exclude members based on any protected characteristic
6. Observe host venue rules

D. Pod Community Standards

1. Keep discussions respectful and relevant
2. Do not spam or repeatedly self-promote
3. Do not engage in bullying, harassment, or discrimination
4. Treat what members share in community discussions as confidential
5. Do not make unsolicited financial, health, or legal claims

E. Enforcement

1. First Violation: Formal warning via email
2. Second Violation: 30-day suspension of portal access
3. Third Violation: Permanent termination of membership with no refund
4. Severe Violations: Immediate termination for harassment, illegal activity, or intellectual property theft

8. Intellectual Property & Content Rights

A. LEC’s Intellectual Property

All LEC content (curriculum, videos, templates, frameworks, tools, playbooks, logos, brand marks, visual identity) is owned by LEC and protected by copyright law. You receive a limited, non-exclusive license to access this content for your personal professional development. You cannot copy, modify, distribute, or sell it.

B. User-Generated Content

You retain ownership of content you post in member forums or community groups. By posting, you grant LEC a royalty-free, perpetual license to use your content for community sharing and (with your consent) marketing purposes. You can request removal by emailing legal@ladiesentrepreneurshipclub.com.

C. Testimonials & Success Stories

We will not use your name, photo, or business details publicly without your explicit written consent. You can revoke consent at any time by emailing legal@ladiesentrepreneurshipclub.com.

9. Limitation of Liability & Disclaimer

A. What We’re Responsible For

• Providing accurate membership descriptions and pricing
• Maintaining a functional member portal (reasonable uptime, industry standard)
• Delivering promised Exchange Challenge curriculum and materials
• Providing Amazon Alexa coaching access (or alternative if unavailable)
• Protecting your personal data according to our Privacy Policy
• Honoring refunds within the stated timeframes

B. Limitation of Damages

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR MEMBERSHIP IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

IN NO EVENT SHALL WE BE LIABLE FOR: indirect, incidental, or consequential damages; special or punitive damages; or damages arising from decisions you made based on LEC materials.

C. Disclaimer of Warranties

EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT, LEC PROVIDES SERVICES “AS IS” WITHOUT WARRANTIES. WE DO NOT WARRANT THAT SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT YOUR USE OF LEC WILL RESULT IN BUSINESS SUCCESS.

D. Applicable Law & Jurisdiction

These Terms are governed by the laws of England and Wales. Any legal action shall be brought in the courts of England and Wales.

10. Dispute Resolution

A. Informal Resolution

Before filing any legal claim, email legal@ladiesentrepreneurshipclub.com with subject “Dispute Notice,” including your name, description of the dispute, resolution sought, and relevant dates and transaction IDs. We will respond within 10 business days and attempt to resolve within 30 days.

B. Mediation

If the dispute is not resolved informally, either party may request mediation through ACAS or similar mediation service. Mediation is non-binding and each party bears their own mediation costs.

C. Arbitration

If mediation fails, either party may pursue binding arbitration under LCIA (London Court of International Arbitration) rules in London, England. Arbitration decisions are final and binding.

D. Small Claims Court

If your claim is under £10,000, you may bring it to Small Claims Court instead of arbitration.

E. Class Action Waiver

Any dispute must be brought in your individual capacity. Class action arbitration is not permitted.

11. Termination of Membership

A. Termination by You

You may terminate your membership anytime. Monthly memberships: full refund within 14 days; after 14 days, membership continues through end of billing month with no refund. Club annual: full refund within 30 days.

B. Termination by LEC

We may terminate your membership immediately for: non-payment (if not resolved within 14 days), conduct violation, fraudulent account, illegal activity, or persistent non-compliance with these Terms. You have 7 days to appeal by emailing legal@ladiesentrepreneurshipclub.com. No refund is provided for termination due to conduct violation or fraud.

C. Effect of Termination

Upon termination: your member portal access closes immediately; you cannot download materials after access closes; you lose access to all Exchange Challenge content and coaching; your email is removed from newsletters.

12. Modifications to Terms & Services

We may update these Terms. When we do, we will email you at least 30 days before the change takes effect and clearly highlight what changed. Continued use of LEC after 30 days means you accept the new Terms. If you disagree with changes, you may cancel within 30 days for a full refund.

Existing members: your current tier price is locked for 12 months from signup. Price increases apply to renewals. We will notify you at least 60 days before renewal.

13. Third-Party Services & Integrations

We are not responsible for third-party service failures, security breaches, or terms changes.

14. Events, Workshops & Retreats

A. Event Registration & Attendance

• Registration is required for in-person events; first-come, first-served for limited-capacity events
• Cancellations more than 7 days in advance receive a credit toward another event; cancellations within 7 days are non-refundable
• Inform us of accessibility needs (mobility, dietary, sensory) when registering

B. Retreat Terms

• Cancellations more than 60 days in advance: full refund
• 30–60 days: 50% refund
• Less than 30 days: non-refundable
• You cannot transfer your retreat spot to another person without advance approval
• You are responsible for travel and accommodation costs unless specified in retreat details

15. Coaching & Professional Services

LEC coaching (human coaches and Amazon Alexa) is educational guidance, NOT professional advice. Do not rely on LEC coaching for legal, financial, tax, medical, or psychological decisions — consult licensed professionals as needed.

Your coaching conversations are confidential. Exception: if you disclose illegal activity, abuse, or harm, we may be required to report to authorities.

Amazon Alexa coaching may have limitations; it supplements but does not replace human coaching. If Amazon Alexa becomes unavailable, you may request a human coach at no additional cost.

16. Special Provisions for Executive Committee (ExComm) Members

A. ExComm is Not a Membership Tier

ExComm is a 12-month governance role for existing annual Connect or Exchange members. It is not sold separately. Monthly billing members are NOT eligible.

B. ExComm Eligibility

1. Hold annual Connect or Exchange membership
2. Have made 3+ referrals in the prior 12 months
3. Actively participate in Pod events, workshops, and community
4. Commit to a full 12-month term

C. ExComm Responsibilities

1. Attend mandatory monthly 1–2 hour strategy calls
2. Deliver at least one strategic initiative per quarter
3. Refer minimum 3 new members within your 12-month term
4. Represent LEC on social media, events, and in your professional network
5. Keep your Connect or Exchange membership active throughout your term

D. ExComm Benefits (No Additional Cost Beyond Membership)

1. Voting rights on programme changes and strategic direction within LEC ELEVATE
2. Monthly strategy sessions with Executive Director and other ExComm members
3. Public recognition on LEC website, social media, and event collateral
4. Documented leadership portfolio
5. Tier 1 Legacy Leader Access (valued at £30,000+)

E. ExComm Term & Removal

• Term: 12 months from appointment. Consecutive terms permitted with renewal application 60 days before term end.
• If you fail to meet responsibilities, LEC may remove you with 30-day notice.
• Voting: 1 vote per ExComm member. Disclose and recuse from votes where you have a conflict of interest.
• ExComm discussions are confidential.

17. Copyrights, Trademarks & Fair Use

All LEC content is protected by copyright. © 2026 Ladies Entrepreneurship Club Limited. All rights reserved.

Fair Use: You may use small portions of LEC content for personal learning, attributed quotes in non-commercial blog posts or articles, or references in non-commercial presentations.

You May NOT: Republish entire courses or Challenge content; create derivative works from LEC frameworks; use LEC templates as your own product; record and distribute coaching sessions; compile resources into a study guide and sell it.

Trademarks: “Ladies Entrepreneurship Club,” “LEC,” and the LEC logo are trademarks of LEC Limited. Do not use LEC trademarks in domain names, product names, or business names without written permission.

18. General Provisions

Entire Agreement

These Terms, along with our Privacy Policy and any other posted policies, constitute the entire agreement between you and LEC.

Severability

If any part of these Terms is found invalid or unenforceable, the remaining parts remain in effect.

Waiver

If LEC fails to enforce any provision, this does not mean we waive our right to enforce it in the future.

Assignment

You may not assign these Terms or your membership to another person without LEC’s written consent.

Notices

All notices from LEC will be sent to the email address in your account. You can send notices to legal@ladiesentrepreneurshipclub.com.

Survival

Sections on Intellectual Property (8), Limitation of Liability (9), Dispute Resolution (10), and Copyrights (17) survive termination of these Terms.
